Module Aims

he module aims to develop knowledge and skills in the understanding of the general legal framework that applies in England and Wales including the sources of law and specific areas of law relating to business and finance.

Content Summary

English legal system, sources of law, statutory interpretation and the doctrine of judicial precedence.

Law of contract: formation, content, breach and remedies.

Law of torts and professional negligence.

Employment law and practice: analysing employee status, the contract of employment, wrongful dismissal, unfair dismissal and redundancy.

Formation and constitution of business organisations including agency law, partnerships and corporations.

Capital and financing of companies.

Company law, company directors and other company officers, company administration.

Companies in difficulty, insolvency procedures: liquidation and administration.

Fraudulent behaviour, including insider dealing, market abuse, bribery, fraud and other areas of potential criminal activity in the operation, management and winding up of companies.
