Module Aims
The module is designed to enable students to further develop the skills, commercial awareness, and knowledge and application of Property Law and Practice already acquired on the course, by requiring them to advise on issues and undertake tasks which would be expected of a trainee solicitor in a Commercial Property seat.
Content Summary
The module deals with site acquisitions/disposals and business leases and these 2 elements comprise the
following:
Element 1 - Site acquisitions/disposals:
- relevant planning, environmental, funding and taxation issues;
- commercial conveyancing procedure (reinforcing the similarities with the procedure relevant to residential
conveyancing and identifying the additional procedural requirements which apply or may apply in a commercial
context) and all relevant documentation involved in that process; and
- basic form Building and Option agreements.
Element 2 - Business leases:
- content and drafting of leases of whole, leases of part, sub-leases and related documentation;
- liability and taxation issues;
- remedies for breach of covenant;
- termination; and
- security of tenure.
The module will require students to:
- Consider, holistically, the legal, procedural, financial and taxation requirements and implications of: -
- site disposals and acquisitions for development purposes, including the circumstances in which a conditional contract, option agreement or building agreement may be necessary to achieve clients’ objectives; and
- granting a business lease from the perspective of landlord, tenant and/or guarantor.

- Draft, review and/or amend relevant documentation at all stages of the acquisition/disposal process and prepare, approve and complete a business lease and be able to identify what is required in order to protect clients’ interests.
-Correctly analyse, interpret and apply relevant landlord and tenant legislation and to carry out clients’ instructions in identifying and completing and/or reviewing all relevant associated forms and documents.
-Identify any professional, ethical and/or regulatory issues which arise as a result of clients’ instructions or otherwise during the course of a property transaction and recognise the appropriate course of action which then needs to be taken.
