Module Aims
The aim of the module is to provide the student with an understanding of Company Law in England and Wales.
The module will provide a basis for study for students to;
1. Develop knowledge and understandanding of the legal rules relating to formation of the company, rights of the owners of the company, responsibility for the management of the company.
2. Debate and analyse issues relevant to the incorporated association, such as Corporate Social Responsibility.
3. Discuss options available when the company becomes financially troubled and has to be rescued or wound up.
4. Critically analyse, evaluate and apply the law relating to companies.
Content Summary
The module will cover the following indicative content:
• History of company law, the establishment of the concept of a separate legal entity and companies as distinct from other forms of business organisation
• The formation of the incorporated association
• The ‘corporate veil’ and its exceptions
• The constitution of the company
• The officers of the company
• The duties of the director
• The role of the shareholder
• Shares, share capital and capital maintenance
• The remedies available to a shareholder
• The principles of corporate governance
• The Corporate Social Responsibility debate
• The company in rescue
• The company in winding up
