Module Aims
The aim of the module is to provide the student with an understanding of Company Law in England and Wales.
The module will provide a basis for study for students to:
Develop knowledge and understanding of the legal rules relating to formation of the company, rights of the owners of the company,??and the responsibility for the management of the company.
Analyse contemporary debate and analysis on issues relevant to the incorporated association, such as Corporate Social Responsibility.
Develop understanding of the options available when the company becomes financially troubled and has to be rescued or wound up.
Critically analyse, evaluate and apply the law relating to companies.
Content Summary
The module will cover the following indicative content:
The establishment of the concept of a separate legal entity and companies as distinct from other forms of business organisation.
The formation of the incorporated association.
The ‘corporate veil’ and its exceptions
The constitution of the company
The officers of the company
The duties of the director
The role of the shareholder
Shares, share capital and capital maintenance.
The remedies available to a shareholder
The principles of corporate governance
The Corporate Social Responsibility debate
