Module Aims

  • To provide for a detailed knowledge of private law contractual principles relating to formation, content and discharge.  

• To provide for a critical consideration of the nature and adequacy of rules relating to formation, content and discharge within a broad context of commercial relationships.  

• To provide for the development of commercial and professional judgement by enabling students to apply contract law principles to complex transactions and disputes.  

Content Summary

This module examines advanced principles of contract law and their application within commercial and intellectual property contexts. At Level 7, the module moves beyond foundational concepts to develop critical and analytical understanding of how contractual obligations are created, interpreted, performed and enforced. 

Through problem-based learning and an immersive Hydra simulation, students will critically evaluate contractual principles, judicial approaches and competing legal arguments, while considering how contractual arrangements operate. The module aims to develop students’ ability to identify complex contractual issues, apply legal principles to sophisticated factual scenarios, and construct well-supported legal arguments. 

As part of the wider LLM Law and Intellectual Property, the module will develop students’ drafting literacy, enabling them to analyse and formulate clear and effective contractual terms. Students will also develop skills in assessing risk allocation, interpreting complex clauses and evaluating contractual disputes. Through commercially focused scenarios, the module strengthens commercial judgement and enables students to apply contract law principles to practical agreements.
